1. Partner Program overview
These Partner Terms of Service ("Partner Terms") govern your participation in the Netallion Partner Program. By accepting these terms through the Netallion Partners Portal, you agree to be bound by these Partner Terms in addition to Netallion's general Terms of Service.
The Partner Program enables Managed Service Providers (MSPs), Managed Security Service Providers (MSSPs), IT resellers, and vCISOs to offer Netallion security services to their customers under a business-operated (B-first) model.
2. Partner tiers and eligibility
Partners are assigned a tier (Starter, Silver, Gold, or Platinum) based on their engagement, volume, and certification level. Tier benefits, including pricing and support levels, are detailed in the Partner Pricebook (accessible after NDA acceptance).
Netallion reserves the right to adjust tiers based on performance, compliance, and engagement metrics with reasonable notice.
3. Partner obligations
As a Netallion Partner, you agree to:
- operate in compliance with all applicable laws and regulations, including data protection laws in all jurisdictions where you operate
- only submit customer domains and assets that you are authorized to manage on behalf of your customers
- complete domain verification (DNS challenge) for all customer assets before requesting scans
- ensure your customers have provided informed consent for security scanning and monitoring activities
- maintain appropriate cyber insurance and professional indemnity cover
- promptly report any security incidents or suspected breaches related to Netallion services or customer data
- not misrepresent the capabilities or limitations of Netallion services to your customers
4. Customer onboarding and management
Partners submit customer onboarding requests through the Partners Portal. Netallion reviews and approves customer requests before provisioning. Partners are responsible for:
- accuracy and completeness of customer information submitted
- obtaining necessary authorizations and rules of engagement acknowledgements
- communicating scan results and reports to customers in a timely and responsible manner
5. Pricing and payment
Partner pricing is confidential and provided via the Partner Pricebook, accessible only after acceptance of the Partner NDA. Partners shall not disclose partner-specific pricing to any third party.
Payment terms, invoicing schedules, and billing processes are as agreed in the individual partner agreement or as specified in the Partners Portal.
6. Deal registration and channel protection
Partners may register deals through the Partners Portal. Approved deals receive a 90-day protection window during which Netallion will not accept competing registrations for the same customer domain from other partners.
Deal protection does not guarantee exclusivity for direct Netallion sales or customer-initiated engagements.
7. Intellectual property and branding
Partners may use Netallion branding materials only as authorized in the Partner Brand Guidelines. All Netallion intellectual property, including software, reports, and methodologies, remains the exclusive property of Netallion.
8. Scan execution and reports
Under the B-first model, Netallion staff reviews and executes scans on behalf of partners. Partners may request scans but do not directly execute them. Reports are delivered through the Partners Portal and may be shared with customers via secure, time-limited share links.
9. Suspension and termination
Netallion may suspend or terminate a partner's access to the Partner Program for:
- breach of these Partner Terms or the general Terms of Service
- unauthorized scanning or testing activities
- failure to maintain required compliance or insurance
- conduct that damages Netallion's reputation or interests
Partners may terminate their participation at any time by contacting [email protected]. Obligations regarding confidentiality, data protection, and intellectual property survive termination.
10. Limitation of liability
To the maximum extent permitted by law, Netallion's total aggregate liability to the partner under these Partner Terms shall not exceed the fees paid by the partner in the twelve (12) months preceding the claim. See the Disclaimers page for full details.
11. Governing law
These Partner Terms are governed by the laws of New Zealand. Any dispute shall be subject to the exclusive jurisdiction of the courts of New Zealand.
