1. Agreement and scope
These Terms of Service ("Terms") govern your access to and use of Netallion's websites, applications, consoles, APIs, scanning engines, reports, integrations, and related services (collectively, the "Services"). By accessing or using the Services, you agree to these Terms.
If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" means the organization.
2. Eligibility and account responsibilities
You must:
- be able to form a binding contract, and
- comply with all applicable laws and regulations.
You are responsible for:
- maintaining the confidentiality of credentials and access tokens,
- ensuring only authorized users access your account,
- enabling and enforcing strong authentication practices (including multi-factor authentication where available),
- keeping your contact details up to date.
3. Authorized testing and ownership verification (critical)
You may only run scans, discovery, validation, monitoring, or testing against assets that:
- you own or control, or
- you have explicit written authorization to test.
Netallion may require verification (e.g., DNS TXT) prior to enabling certain features, including ASM discovery and asset validations. Netallion may block, throttle, or refuse scans where authorization is unclear or verification is not completed.
4. Plans, subscriptions, and orders
The Services may be offered via:
- Subscriptions (recurring billing), and/or
- Orders (one-off purchases such as "Scan Now" or validation runs).
Plan features, limits, and prices are shown at purchase or in your enterprise agreement (if applicable). You must pay applicable fees, taxes, and charges.
5. Trials and promotional access
Netallion may offer free trials or promotional access from time to time. Trial terms and eligibility may change and will be displayed at checkout, in-product, or in a written offer. Netallion may limit trial features, duration, and quotas.
6. Acceptable use
You must comply with our Acceptable Use & Authorized Testing Policy. Prohibited actions include unauthorized scanning, disrupting services, attempting to access other tenants' data, or circumventing controls.
7. Customer data and usage data
- Customer Data includes targets, configurations, scan results, findings, reports, tickets, attachments, and other data you submit or that the Services generate for you.
- You retain ownership of your Customer Data.
- You grant Netallion a limited license to process Customer Data to provide, secure, maintain, and improve the Services, including generating reports and supporting investigations into abuse and security incidents.
8. Security, tenant isolation, and audit logging
Netallion operates the Services as a multi-tenant platform and applies controls to separate customer data by organization/tenant. You agree not to attempt to bypass these controls. We may log security-relevant events for audit, abuse prevention, and incident response.
9. Service changes
Netallion may modify, add, or discontinue features and components (including engines, integrations, and report formats). We will aim to provide notice for material changes that affect paid plans, where reasonably possible.
10. Third-party services and components
The Services may incorporate third-party services (e.g., hosting providers, email delivery, payment processors) and open-source/ third-party security engines. Netallion is not responsible for third-party outages outside our reasonable control, but we will take reasonable steps to maintain service continuity.
11. Suspension and termination
Netallion may suspend or terminate your access:
- for policy violations or suspected unauthorized scanning,
- for non-payment,
- to protect the Services, other customers, or legal compliance.
You may stop using the Services at any time and cancel subscriptions as described in the Cancellation & Renewal Policy.
12. Disclaimers and limitation of liability
Your use of the Services is subject to the Legal Disclaimers & Limitation of Liability policy, which is incorporated into these Terms.
13. Governing law and disputes
These Terms are governed by the laws of New Zealand. Parties submit to the non-exclusive jurisdiction of the courts of New Zealand, unless an enterprise agreement states otherwise.
14. Business-to-business contracting out (New Zealand)
If you are acquiring the Services in trade for business purposes, and Netallion Limited is also acting in trade, then to the maximum extent permitted by law, the parties agree to contract out of the Consumer Guarantees Act 1993, and any similar consumer-protection provisions that can be contracted out of, provided this agreement is in writing and it is fair and reasonable for the parties to be bound by this clause.
Where applicable, the parties may also agree to contract out of certain provisions of the Fair Trading Act 1986 only to the extent permitted by law and only where the legal requirements for contracting out are met.
Nothing in these Terms limits rights that cannot lawfully be excluded.
